Terms of Service

Acceptance

By creating an account or using BoardHasA.name (the "Service"), you agree to these Terms of Service ("Terms"). If you're agreeing on behalf of an organization, you confirm you have authority to bind that organization. If you don't agree, don't use the Service.

Your account

You're responsible for safeguarding your password and for any activity on your account. Notify us promptly if you suspect unauthorized access. We may suspend accounts that show clear signs of compromise to protect you and other customers.

You must be at least 16 years old to use the Service. One account per individual.

Acceptable use

Don't do, attempt, or encourage any of the following:

• Upload illegal content, malware, or anything that infringes someone else's rights.
• Send spam or harassing messages through the Service.
• Probe, scan, or test the security of the Service without written permission.
• Reverse-engineer the Service, except where allowed by law.
• Use the Service to build a competing product or to scrape data at scale.
• Interfere with other customers' use of the Service.

We reserve the right to suspend or terminate accounts that violate these rules.

Your content

You retain all rights to the content you upload. By using the Service you grant us a limited license to host, process, transmit, display, and back up your content as needed to operate the Service — nothing more.

We don't use your content for advertising, sell it to third parties, or use it to train AI models. Period.

Fees and payment

Paid plans are billed monthly or annually in advance. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice for the next billing cycle.

If a payment fails, we'll retry and email you. Accounts more than 14 days past due may be downgraded to the Free plan until payment is restored.

Taxes are added at checkout where applicable. Enterprise customers under a separate Order Form are billed per that Order Form.

Cancellation and termination

You can cancel anytime from account settings — no email, no phone tree. Cancellation takes effect at the end of the current billing period.

We may terminate or suspend the Service for any account that violates these Terms or that we reasonably believe is being used unlawfully. We'll give notice and an opportunity to remediate when feasible.

You can export your data at any time before or for 30 days after cancellation.

Our intellectual property

BoardHasA.name, our logo, the underlying software, and our documentation are owned by BoardHasA, Inc. and protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service per these Terms. Nothing else is granted by implication.

Feedback

If you share ideas or suggestions, you grant us an unrestricted, royalty-free right to use them. We may or may not act on feedback — but we promise to read every word.

Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted or error-free, though we work very hard to make it so.

Limitation of liability

To the maximum extent permitted by law, BoardHasA's total liability arising from or related to these Terms is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data, even if we were advised of the possibility.

Some jurisdictions don't allow these limits — they apply only to the extent allowed by your local law.

Indemnification

You agree to defend and indemnify BoardHasA from third-party claims arising from your content, your use of the Service, or your violation of these Terms. We'll notify you promptly of any such claim and cooperate in the defense.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts of Delaware. Each party waives any right to a jury trial.

If you're a consumer in the EU or UK, you may also have rights under mandatory local consumer protection law — those rights are not affected.

Changes to these terms

We may update these Terms when we add features or change how the Service works. Material changes are announced by email at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
